Ultra-Dex Tooling Systems joins the ARCH Cutting Tools Group

ARCH Global Precision, a Strength Capital Partners platform company that is focused on precision machined components and cutting tools & instruments has acquired Ultra-Dex Tooling Systems located in Flushing, Michigan. As part of this acquisition, ARCH Global Precision also acquired the Ultra-Dex USA branded product line and the Beamer Laser Marking Systems product line (collectively “Ultra-Dex”) from Mark and Sharon Birchmeier. Ultra-Dex is a manufacturer of tooling systems, including indexable boring, milling and drilling systems, as well as tool holders, custom designed tooling and laser marking systems.

“We are excited to announce the acquisition of Ultra-Dex, as this acquisition significantly broadens our capabilities in the industrial cutting tool space,” commented Eli Crotzer, ARCH Global Precision President and Chief Executive Officer. “Specifically, the transaction provides us with capabilities in indexable boring, milling and drilling, which did not exist as part of ARCH Global prior to this acquisition. In addition, there is significant customer overlap between Ultra-Dex and our existing cutting tool businesses, thus allowing ARCH Global to continue to leverage customer relationships across the enterprise. We intend to continue manufacturing all of the Ultra-Dex products in Flushing, Michigan, and we see tremendous potential for Ultra-Dex to become a growth engine within the broader ARCH Global Precision platform.”

Mark Birchmeier, the former owner of Ultra-Dex, who will continue on in his role as President of the company for a transitional period, commented “we are pleased to announce the sale of Ultra-Dex Tooling Systems, Ultra-Dex USA and Beamer Laser Marking Systems to ARCH Global Precision. KEO Cutters and Richards Micro-Tool join Affiliated Distributors™ as Preferred Supplier Partners

ARCH Global Precision, a Strength Capital Partners platform company that is focused on precision machined components and cutting tools & instruments announced today that its KEO Cutters and Richards Micro-Tool subsidiaries recently joined Affiliated Distributors’ (AD) Industrial Supply Division (ISD) as Preferred Supplier Partners. As a Preferred Supplier Partner, KEO Cutters and Richards Micro-Tool will have increased opportunities to grow market share with AD-ISD Member distributors. Benefits include access to senior management, AD’s Market Planning, and focused front line partnering at the Member distribution companies.

Voisard Tool joins the ARCH Cutting Tools Group

ARCH Global Precision, a Strength Capital Partners platform company that is focused on precision machined components and precision cutting tools has acquired Voisard Tool (“Voisard”) located in Russia, Ohio from Gene and Pam Voisard. Voisard is a manufacturer of carbide cutting tools, including high performance end mills, standard end mills, step drills, coolant fed drills and other special carbide cutting tools.

“We are very pleased to announce the acquisition of Voisard, as this acquisition supports our ongoing strategy of broadening our capabilities in the industrial cutting tool space,” commented Eli Crotzer, ARCH Global Precision President and Chief Executive Officer. “Voisard represents our biggest acquisition to date in the world of carbide cutting tools and further provides ARCH with a line of high performance end mills and drills to leverage across our existing distribution base. We intend to continue manufacturing all of the Voisard products in Russia, Ohio, where the Company has been located for over fifty years. I have known Gene and Pam Voisard for over ten years and they have always been wonderful to deal with. After spending the better portion of their lives building up a great business, I wish them both well in retirement and I thank them for providing ARCH with the opportunity to help Voisard grow to the next level”, concluded Mr. Crotzer.

Professional Machine, Inc. joins the ARCH Precision Components Group

ARCH Global Precision, a Strength Capital Partners platform company that is focused on precision machined components and precision cutting tools has acquired Professional Machine, Inc. (“Promach”) located in Bellingham, Massachusetts from Joe and Sherri Kauker. Promach is a manufacturer of precision machined components for a diverse set of industries, including oil & gas, medical, dental, aerospace and residential and commercial construction.

“We are very pleased to announce the acquisition of Professional Machine. This acquisition represents the first “bolt on” acquisition for our Precision Components segment and supports our strategy to diversify the end markets we serve,” commented Eli Crotzer, ARCH Global Precision President and Chief Executive Officer. “Promach is perfectly reflective of the type of acquisitions that we want to pursue in our Precision Components segment. Joe and Sherri have built a business around tackling very difficult applications that most machine shops would shy away from. It is the challenging nature of the jobs that they produce which provides sustaining value for their customers. We intend to continue manufacturing all of the Promach products in Bellingham, Massachusetts, and we intend to partner with Joe and his management team to accelerate growth in the business, both through organic opportunities and complementary acquisitions,” concluded Mr. Crotzer.

JASCO Tools, Inc. and Little Rock Tools, Inc. join the ARCH Cutting Tools Group

ARCH Global Precision, a Strength Capital Partners platform company that is focused on precision machined components and cutting tools & instruments has acquired JASCO Tools, Inc. and Little Rock Tools, Inc. (collectively “JASCO”), located in Rochester, New York and Little Rock, Arkansas, respectively. JASCO manufactures high-speed steel precision slitting discs for the heat exchange industry, custom solid carbide and carbide tipped cutting tools and precision machined components.

“We are extremely pleased to have acquired JASCO from the previous ownership group,” commented Eli Crotzer, ARCH Global Precision President and Chief Executive Officer. “JASCO provides ARCH with both expanded capabilities for our Cutting Tools segment and new capabilities and end markets for our Precision Components segment. We expect that with the broad reach of the ARCH network, we will be able to drive accelerated growth into the JASCO facilities for many years to come.”

“Aside from being my personal friends for many years, Gene Baldino and Diane Simon have been instrumental in driving the long term success of the JASCO businesses and we are pleased that they reached out to ARCH Global Precision when considering a sale of their business,” concluded Mr. Crotzer. Gene Baldino and Diane Simon have graciously agreed to stay on in their current leadership roles for a period of time after today’s closing of the transaction to support with all transitional issues.

We have great confidence that JASCO will continue to flourish under ARCH’s ownership and we are committed to the successful transition of the business from the prior ownership group to the new ARCH ownership.”
